Vendor & Venue Partner Agreement

• Partner — a venue (palace, hotel, banquet, farmhouse, resort) or wedding-services vendor (catering, decor, photography, planner, entertainment, bridal-wear and similar) listed on PalaceDekho.
• Lead — a couple, planner or organisation enquiry forwarded to a Partner.
• Booking — a confirmed engagement between a Lead and a Partner that results in a contract or paid event.
• Platform — palacedekho.com and related mobile / WhatsApp channels.

• Partner must be a legally registered business in India with a valid PAN, GSTIN (where applicable), and a bank account in the entity's name.
• Partner must complete PalaceDekho's KYC: business registration, ID of authorised signatory, address proof and a sample work portfolio.
• Venues must provide clear ownership / lease documents, fire-safety certificate, applicable event-permission letters and proof of insurance.
• Vendors must provide proof of trade (GSTIN / Udyam) and past-event references.
• PalaceDekho reserves the right to accept or reject any application at its sole discretion.

• Partner grants PalaceDekho a non-exclusive, royalty-free licence to display, resize and reformat Partner-supplied photos, videos, descriptions and pricing on the Platform and in marketing material.
• Partner represents that all submitted content is original or properly licensed, accurate and not misleading.
• PalaceDekho may edit, watermark or remove content that violates this Agreement or platform guidelines.
• Indicative pricing must be in INR and inclusive of typical inclusions; final binding quotations must be issued to Leads within 24 hours of request.

• PalaceDekho forwards Leads with the minimum necessary information (see Data Sharing Policy).
• Partner shall respond to a Lead within 24 hours and update lead status (Contacted, Site-Visit Booked, Quotation Sent, Won, Lost) honestly.
• Any Booking originating from a PalaceDekho Lead is attributable to PalaceDekho for a period of 24 months, regardless of the channel through which the contract is ultimately signed.
• Bypassing PalaceDekho to avoid commission on an introduced Lead is a material breach and entitles PalaceDekho to recover the commission plus a 25% penalty and legal costs.

• Standard commission, payment milestones and any subscription / listing fees are specified in the Partner's signed Schedule A.
• Commission is invoiced by PalaceDekho on the gross contract value (excluding GST), payable within 15 days of invoice.
• Where PalaceDekho collects the advance on Partner's behalf, the Partner share is remitted within 7 business days net of commission, TDS and gateway charges.
• All payments are subject to applicable taxes; Partner is responsible for its own tax filings.

• Honour the quotation, scope and timelines committed to the Lead.
• Maintain a couple-satisfaction rating of at least 4.0/5; sustained ratings below 4.0 may result in delisting.
• No solicitation of out-of-scope payments, no demand for cash-only settlement, no last-minute price hikes without written Lead consent.
• Maintain all licences, insurances and statutory permissions required for the services rendered.

Partner is a separate data controller in respect of the Lead data shared and must comply with our Data Sharing Policy and the DPDP Act, 2023. Partner shall:

• Use Lead data only for the specific enquiry forwarded.
• Not sell, rent or share Lead data with third parties.
• Not add Leads to marketing databases without explicit, separate consent.
• Delete or anonymise Lead data 24 months after the last interaction, unless the Lead has signed a separate contract with Partner.
• Notify PalaceDekho of any data-security incident within 24 hours.

Pricing, commercials, ranking logic, internal communications and Lead contact details are confidential information of PalaceDekho. Disclosure to third parties without written consent is a material breach.

• This Agreement is effective from the date of listing activation and continues until terminated.
• Either party may terminate without cause on 30 days' written notice.
• PalaceDekho may suspend or terminate immediately for breach, fraud, unsafe conduct, repeated low ratings or law-enforcement requests.
• On termination, Sections 4 (attribution for 24 months), 5 (unpaid commission), 7 (data protection) and 8 (confidentiality) survive.

Each Booking is a direct contract between the Partner and the Lead. Partner is solely responsible for the safety, quality and lawful delivery of its services and shall indemnify PalaceDekho against any claim arising from Partner's breach of this Agreement, negligence or misrepresentation.

Indian law. Exclusive jurisdiction: courts at New Delhi. Disputes shall first be attempted to be resolved through good-faith discussions for 30 days before litigation.
